These Terms and Conditions (“Terms”) govern your use of Adeptfully services and website. By registering for a course or using our services, you agree to be bound by these Terms.

Adeptfully is a trading name of Barry Baguley operating as a sole trader based in the United Kingdom. We provide online professional development courses to clients globally.

2. Eligibility and Registration

• Our courses are open to professionals aged 18 or older
• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your account credentials
• You may not transfer your registration to another person without our prior written consent
• We reserve the right to refuse service at our discretion

3. Course Booking and Payment

Booking Process:

• All bookings must be made through our website or authorised booking platforms
• Course places are allocated on a first-come, first-served basis
• Your booking is confirmed when you receive a confirmation email from us
• Confirmation emails will include course details, joining instructions, and payment receipt

Payment:

• Full payment is required at the time of booking to secure your place
• We accept credit/debit cards via Stripe, PayPal, Klarna, and other payment methods as displayed at checkout.
• All prices are displayed in GBP (£) unless otherwise stated and include applicable taxes
• Payment processing is handled by third-party processors; we do not store your complete payment card information
• International customers may be charged in their local currency by their payment provider

Failed Payments:

• If payment fails, your booking will be automatically cancelled
• You will be notified of payment issues and may re-book if places remain available
• No course access will be provided until payment is successfully completed

4. Cancellation and Refunds

Your Cancellation Rights:

• More than 14 days before course: Full refund minus administrative fee (£10 or 5% of course price, whichever is lower)
• 7-14 days before course: 50% refund available
• Less than 7 days before course: No refund available (except in exceptional circumstances at our discretion)
• No-shows or non-attendance: No refund available

Course Transfers:

• Transfer to future sessions available more than 7 days before the original course date
• Transfers are subject to availability and may incur additional charges for price differences
• Only one transfer permitted per booking

Our Right to Cancel:

• We may cancel a course due to insufficient enrollment (minimum numbers not met), technical issues, instructor illness, or other circumstances beyond our control
• Minimum 48 hours’ notice will be provided where possible
• If we cancel, you will receive a full refund or priority booking for the next available session

Refund Process:

• Refunds will be processed to the original payment method within 5-10 business days
• Refund requests must be made in writing via email to info@adeptfully.com
• Bank charges or currency conversion fees are non-refundable

5. Course Access and Delivery

Online Delivery:

• Courses are delivered online via video conferencing platforms (primarily Zoom, Microsoft Teams, or similar)
• You are responsible for having a stable internet connection, an appropriate device, and a quiet environment
• Technical requirements will be communicated at least 24 hours before the course
• Joining instructions will be emailed 48-72 hours before the course starts

Course Materials:

• Course materials may include downloadable resources, presentation slides, recordings made by Adeptfully, and digital certificates
• Materials are provided for your personal, professional use only
• You will receive a certificate of completion upon successful attendance (minimum 80% attendance required)
• Materials remain our intellectual property

Attendance Requirements:

• You must attend at the scheduled time to receive the full benefit and certification
• Late arrivals (more than 20 minutes) may be refused entry at our discretion
• Course recordings by attendees are not permitted.

Technical Support:

• Basic technical support is available during course hours
• We are not responsible for technical issues on your end (internet, device problems, etc.)

6. Intellectual Property

Our Rights:

• All course materials, content, methodologies, and intellectual property are owned by Barry Baguley trading as Adeptfully
• This includes but is not limited to: course content, presentations, handouts, recordings made by Adeptfully, and trademarks
• Unauthorised reproduction, distribution, modification, or creation of derivative works is strictly prohibited

Your Limited License:

• You receive a limited, non-exclusive, non-transferable, personal license to access and use course materials 
• License is solely for your personal professional development and future reference 
• You may not share, sell, distribute, broadcast, or make materials available to third parties 
• You may retain and use downloaded materials for your ongoing professional development 
• This license continues indefinitely for personal use but terminates immediately if you breach these Terms

Violation Consequences:

• Unauthorised use may result in legal action
• You may be liable for damages and legal costs

7. Code of Conduct and Prohibited Uses

You agree to:

• Behave professionally and respectfully during courses and in all communications
• Not disrupt, harass, or interfere with other participants or instructors
• Respect intellectual property rights and confidentiality
• Not record, screenshot, or capture course content without explicit written permission
• Use appropriate language and maintain a professional environment

Prohibited Activities:

• Using our services for illegal, unauthorised, or commercial purposes
• Sharing login credentials or course access with others
• Attempting to circumvent payment or registration processes
• Spam, solicitation, or promoting competing services during courses

Consequences:

• Violation may result in immediate removal from courses without refund
• We reserve the right to ban users from future services

8. Disclaimers and Limitation of Liability

Course Disclaimers:

• Courses are provided on an “as-is” and “as-available” basis
• We make no guarantees about specific learning outcomes or career advancement
• Course content is for educational purposes and should not be considered professional advice
• Results may vary based on individual application, circumstances, and effort

Limitation of Liability:

• Our total liability for any claim is limited to the amount you paid for the specific course in question
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• This includes but not limited to: loss of profits, data, business opportunities, or career advancement
• We are not responsible for technical failures, internet connectivity issues, or third-party service interruptions

Your Acknowledgment:

• You participate in courses at your own risk
• You are solely responsible for how you apply course content in your professional life
• We do not guarantee employment, promotion, or specific career outcomes

9. Force Majeure

We are not liable for failure to perform due to circumstances beyond our reasonable control, including:

• Natural disasters, pandemics, or health emergencies
• Government actions, regulations, or restrictions
• Internet outages or technology failures
• Instructor illness or unavailability
• Other unforeseeable circumstances or acts of God

In such cases, we will provide reasonable alternatives or refunds where possible.

EU Residents:

• These Terms are governed by English law
• You may pursue claims in your country of residence under EU consumer protection laws
• Access to the European Commission’s Online Dispute Resolution platform available

Non-EU International Users:

• These Terms are governed by English law
• Disputes resolved through English courts or mutually agreed arbitration
• Local consumer protection laws may also apply

14. Consumer Rights

UK/EU Consumer Rights:

Severability: If any provision is found unenforceable, remaining provisions continue in full effect.

Assignment: You may not assign rights under these Terms. We may assign our rights with reasonable notice.

Waiver: Our failure to enforce any provision does not constitute a waiver of our rights.
